These Terms of Service ("Terms") govern your use of the ProSet Digital Advertising platform and services. By accessing or using our services, you agree to be bound by these Terms.
By creating an account, accessing the ProSet dashboard, or using any ProSet services, you agree to these Terms and our Privacy Policy. If you are using our services on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, you may not use our services.
ProSet Digital Advertising provides digital marketing services including but not limited to:
Services are delivered through our web-based dashboard and supporting infrastructure. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
Access to the ProSet platform requires an authenticated account. There are two account types:
You are responsible for maintaining the security of your account credentials. You must notify ProSet immediately of any unauthorized access. We reserve the right to disable accounts that violate these Terms.
You own your data. All business data, lead information, customer records, analytics data, and other content you provide or that is generated on your behalf remains your property. ProSet acts as a data processor on your behalf.
You grant ProSet a limited license to use your data solely for the purpose of delivering the services you have engaged. Upon termination, you may request an export of all your data. We will provide your data in standard formats (CSV, JSON) within 30 days of request.
Billing is managed through Stripe. Subscription fees are billed in advance on a monthly or annual basis as specified in your service agreement. One-time invoices are due upon the date specified on the invoice.

The ProSet platform, including its design, code, features, branding, and documentation, is the intellectual property of ProSet Digital Advertising. You may not copy, modify, distribute, or reverse-engineer any part of the platform.
Websites, content, and marketing materials created by ProSet on your behalf are owned by you upon full payment for the applicable services, unless otherwise specified in a separate agreement.
Both parties agree to keep confidential any non-public information disclosed during the course of the business relationship. This includes business strategies, financial information, customer data, and proprietary processes.
Confidentiality obligations survive termination of the business relationship for a period of two (2) years, except for trade secrets which are protected indefinitely.
Either party may terminate the service relationship with 30 days written notice. ProSet may terminate or suspend access immediately if you violate these Terms.
Upon termination, your access to the dashboard will be revoked. You may request an export of your data within 30 days of termination. After 30 days, your data will be permanently deleted from our systems.
To the maximum extent permitted by law, ProSet Digital Advertising shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.
ProSet's total liability for any claims arising from these Terms or your use of the services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless ProSet Digital Advertising, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the services, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Tennessee.
